A law firm seeks a skilled Mergers & Acquisitions (M&A) Resource Attorney to support its transactional legal team by managing resources, developing legal documents, and staying updated on the latest regulatory changes. This role provides a unique opportunity for an attorney to apply their M&A expertise without the client-facing responsibilities. The ideal candidate will have at least 7 years of experience in corporate transactional law, a strong attention to detail, and the ability to work collaboratively in a team environment.

Duties:

  • Transaction Database Management:
    • Input signed deal terms into the firm’s newly revamped Transaction Database.
    • Collaborate with the knowledge management team to audit and maintain the database.
  • Form and Precedent Drafting/Management:
    • Draft new template documents and revise existing forms.
    • Organize and curate M&A precedents and other critical resources for the practice group.
  • Legal Updates:
    • Monitor and track developments in M&A laws and regulations.
    • Prepare summaries and alerts to keep the team informed of changes.
    • Ensure internal resources are updated with new legal requirements.
  • Legal Education:
    • Coordinate with the legal education team to develop content for associate and firm-wide training programs on M&A topics.
  • Marketing and Business Development:
    • Collaborate with the M&A marketing team to strategize and promote the firm’s M&A capabilities, including creating content for blogs, presentations, and pitch materials.
  • Attorney Support:
    • Assist attorneys with day-to-day requests for precedents, templates, and legal resources.
  • New Initiatives:
    • Contribute to ongoing resource, knowledge management, and practice innovation projects.
  • Other Duties:
    • Perform additional tasks as assigned to support the firm’s needs.

Requirements:

  • Minimum 7 years of experience in U.S. M&A or corporate transactional law.
  • Familiarity with public and private M&A transactions, corporate governance, and fiduciary duties.
  • Strong drafting and organizational skills, with the ability to manage and curate a variety of legal resources.
  • Ability to prioritize multiple projects and collaborate with attorneys and stakeholders across different initiatives.
  • Flexibility to adapt to the changing needs of the practice and support new initiatives as they arise.
  • Strong attention to detail, particularly in drafting and quality control.
  • Collaborative team player who can effectively work with other resource attorneys and practice group members.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in a U.S. state bar.

Certifications:

  • Licensed attorney with relevant legal experience.

Skills:

  • Expertise in M&A legal matters and corporate law.
  • Exceptional organizational skills and ability to manage multiple tasks simultaneously.
  • Excellent written and verbal communication skills.
  • High attention to detail and ability to create precise and accurate legal documents.
