Job Overview:

A reputable law firm is seeking a Counsel-level attorney to join its Finance & Restructuring practice group. The ideal candidate will have at least seven years of transactional experience representing financial institutions and corporate trust clients. The role involves handling various corporate trust transactions, including structured finance, municipal debt, and corporate debt issuances. Candidates will be expected to have extensive experience in reviewing, negotiating, and drafting transactional agreements, and will work closely with clients to provide exceptional legal advice.

Location:

  • New York City, NY

Duties:

  • Represent financial institutions and corporate trust clients in various corporate trust transactions, including structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances.
  • Review, negotiate, and draft a variety of transactional agreements such as trust indentures, loan agreements, account control agreements, custodial and agency agreements, servicing agreements, SaaS agreements, software licenses, and third-party vendor contracts.
  • Provide expert legal advice and strategic guidance on complex financial transactions.
  • Manage multiple transactions and assignments independently with minimal supervision.
  • Supervise and mentor junior attorneys and paralegals, ensuring collaboration and team cohesion.
  • Maintain strong client relationships and demonstrate exceptional client focus.

Requirements:

  • Minimum of 7 years of experience in transactional finance law, specifically in corporate trust and structured finance matters.
  • Proven expertise in drafting and negotiating complex transactional agreements.
  • Ability to independently manage a high volume of transactions and assignments.
  • Demonstrated experience in managing and mentoring other legal professionals.
  • Strong analytical, review, and negotiation skills.
  • Excellent written and verbal communication skills.
  • Ability to thrive in a collaborative team environment while working independently.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the bar in the jurisdiction where the candidate will be practicing.

Skills:

  • Exceptional writing, analytical, and negotiation skills.
  • Strong business judgment with an ability to assess risks and develop strategic solutions.
  • Ability to handle multiple, complex matters simultaneously.
