This position requires significant experience advising private foundations and charitable organizations on complex legal and tax issues. The ideal candidate will have a deep understanding of nonprofit corporate governance, tax exemption issues, and experience handling both for-profit and nonprofit entities in complex organizational structures. The role also involves advising philanthropists and representing tax-exempt organizations in federal and state audits.

Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax issues.
  • Assist in the formation of nonprofit corporations and charitable trusts, including obtaining tax-exempt status.
  • Advise private foundations on matters such as grant agreements, tax compliance, and succession planning.
  • Provide legal guidance to philanthropists on charitable gifts, donor-advised funds, and related structures.
  • Counsel large 501(c)(3) organizations on corporate governance, tax exemption compliance, and unrelated business taxable income (UBTI) matters.
  • Structure and negotiate mergers, affiliations, and joint ventures involving nonprofit entities.
  • Advise on complex organizational structures that involve both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations in federal and state audits, focusing on tax and charitable issues.
  • Collaborate with other departments to provide comprehensive legal solutions to clients in the tax-exempt and nonprofit sectors.

Requirements:

  • Experience as an attorney specializing in tax-exempt organizations and philanthropy law.
  • Demonstrated experience advising private foundations, charitable organizations, and philanthropists.
  • In-depth knowledge of nonprofit corporate governance, tax exemption laws, and compliance issues.
  • Experience handling mergers, joint ventures, and other organizational changes for nonprofit entities.
  • Strong background in federal and state tax audits related to charitable organizations.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Florida State Bar (or eligibility for admission).
