Job Overview

A law firm seeks a skilled and experienced Corporate Finance Associate to join its team. This role requires 2–6 years of experience in transactional, real estate, or finance law, gained at a mid-size or large law firm, in-house legal department, or financial institution. The position involves advising financial institutions on various financing transactions, drafting key documents, and handling complex debt private placements. The ideal candidate thrives in a dynamic environment and possesses strong technical and interpersonal skills.

Duties

  • Represent financial institutions, including insurance companies and banks, in domestic and cross-border debt private placements.
  • Provide legal counsel on secured and unsecured lending transactions, including equipment leasing and real estate financing.
  • Draft, review, and negotiate transaction documents, offering materials, financing statements, and other legal instruments.
  • Serve as debt counsel in traditional, leveraged, synthetic, and capital lease transactions.
  • Manage or assist in closings of financing deals with a broad range of asset classes.
  • Offer insights into commercial and securities law issues related to finance transactions.

Requirements

  • 2–6 years of relevant legal experience in transactional, real estate, or finance law.
  • Proven ability to manage multiple, complex projects simultaneously.
  • Strong interpersonal and analytical skills with excellent oral and written communication capabilities.
  • Superior negotiating skills and a keen understanding of business, industry, and market dynamics.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active Bar membership in good standing or eligibility to waive into the Bar of the jurisdiction where the position is located.

  • Expertise in drafting and negotiating legal documents for financing transactions.
  • In-depth knowledge of commercial and securities law as they pertain to financial matters.
  • Strong organizational and multitasking abilities with attention to detail.
