Mid-to-Senior Level Corporate Associate Attorney

A law firm in Seattle is seeking a Mid-to-Senior Level Corporate Associate Attorney to join their Startup and Venture Capital Group. The ideal candidate will have a strong affinity for technology and/or life sciences companies, possessing superior academic credentials and excellent oral, written, and interpersonal skills. Candidates with previous in-house experience are welcome, provided they also have prior law firm experience. Bar admission in Washington State is required.

Duties and Responsibilities:

• Provide legal counsel and strategic advice to startup, venture capital, and emerging company clients.
• Draft and negotiate a wide range of corporate agreements, including financing documents, shareholder agreements, and equity compensation plans.
• Assist clients with corporate governance matters and regulatory compliance.
• Conduct due diligence and manage transactions related to mergers, acquisitions, and venture capital financings.
• Collaborate with senior attorneys and partners to manage client relationships and develop business opportunities within the startup and venture capital sectors.
• Stay updated on industry trends and legal developments affecting startup and venture capital clients.

Requirements:

• JD from an accredited law school; admitted to the Washington State Bar.
• 3+ years of experience in a sophisticated corporate law practice, focusing on startup, venture capital, and emerging company representation.
• Strong understanding of corporate finance, securities laws, and mergers and acquisitions.
• Experience drafting and negotiating corporate agreements and advising on corporate governance matters.
• Excellent academic credentials with a proven track record of success in a law firm setting.
• Prior in-house experience combined with law firm experience is advantageous.
