Job Overview: A law firm in Washington, DC is seeking a skilled Mid-Level Nonprofit and Associations Associate Attorney to join their team. The ideal candidate will have a minimum of 4+ years of experience in a law firm environment focusing on representing tax-exempt organizations. Legal expertise in contracts, governance, corporate structures, component/affiliate relations, licensing, membership programs, and lobbying is highly valued. Admission to the DC Bar is required for this position.

Duties:

  • Provide legal counsel and representation to nonprofit organizations and associations.
  • Draft and review legal documents, including contracts, bylaws, articles of incorporation, and policy documents.
  • Advise clients on governance issues, corporate structures, and compliance matters.
  • Assist with the formation and dissolution of nonprofit entities.
  • Conduct legal research and analysis on nonprofit and tax-exempt organization laws and regulations.
  • Represent clients in administrative proceedings and before regulatory agencies.
  • Negotiate and draft licensing, membership programs, and affiliate relationship agreements.
  • Assist clients with lobbying activities and compliance with lobbying laws.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Minimum of 4+ years of experience practicing law, preferably in a law firm setting.
  • Experience representing tax-exempt organizations is strongly preferred.
  • Admission to the District of Columbia Bar.
  • Strong understanding of nonprofit and tax-exempt organization laws and regulations.
  • Excellent written and verbal communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Attention to detail and strong analytical skills.

Certifications:

  • Admission to the District of Columbia Bar is required.
