Job Overview:
A prominent law firm is seeking a highly qualified midlevel associate to join its Corporate & Business Transactions practice group. This is an excellent opportunity for a candidate with 4-5 years of experience in M&A and Private Equity transactions. The ideal candidate will have experience drafting and negotiating complex transaction agreements and possess strong organizational, drafting, and analytical skills. This role offers exposure to high-profile corporate matters in a dynamic legal environment.

Location:  San Francisco, CA 

Duties:

  • Manage and support M&A and Private Equity transactions, including drafting, negotiating, and reviewing transaction agreements.
  • Provide counsel on corporate governance, compliance, and other business law matters.
  • Advise clients throughout corporate transactions, including structuring and negotiating key terms.
  • Conduct legal research and prepare relevant legal documents.
  • Assist in the execution of corporate transactions, including mergers, acquisitions, and joint ventures.
  • Develop and maintain client relationships, ensuring effective communication and legal support.
  • Collaborate with senior team members to ensure timely and successful transaction closures.

Requirements:

  • 4 to 5 years of law firm experience in M&A/Private Equity transactions.
  • Proven ability to draft and negotiate complex agreements related to corporate transactions.
  • Strong organizational, analytical, and problem-solving skills.
  • Ability to manage multiple projects with competing deadlines.
  • Active bar membership in the state where the office is located.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active bar membership in the state of the office location.

Skills:

  • Expertise in M&A and Private Equity transactions.
  • Strong drafting and negotiation skills.
  • Excellent written and verbal communication skills.
  • Strong research, analytical, and problem-solving capabilities.
  • Ability to work independently and as part of a collaborative team.
