Job Overview:

A prestigious law firm is seeking a mid-level to senior Corporate Associate specializing in public companies and capital markets. This role involves managing SEC compliance, disclosure matters, and Nasdaq/NYSE governance. The successful candidate will work on various capital market transactions, including IPOs, equity/debt offerings, and private investments. Experience with clients in the technology or life sciences sectors is preferred.

Location:

  • San Diego, CA

Duties:

  • Oversee public company reporting and compliance, including SEC filings, governance, and Nasdaq/NYSE requirements
  • Manage day-to-day compliance issues and assist in regulatory matters for public companies
  • Represent clients in various capital market transactions, including:
    • Initial Public Offerings (IPOs)
    • Equity and debt offerings
    • Private investments in public entities (PIPEs)
    • At-the-market offerings
  • Advise clients, particularly within the technology and life sciences sectors, on capital market issues

Requirements:

  • Strong background in public company reporting, governance, and SEC compliance
  • Experience in capital markets transactions, representing issuers or investment banks
  • Knowledge of Nasdaq/NYSE compliance and other regulatory requirements
  • Familiarity with the technology and/or life sciences industries is a plus

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active bar membership in good standing within the relevant jurisdiction(s)

Skills:

  • Proficiency in public company governance and capital markets transactions
  • Excellent understanding of SEC compliance and regulatory matters
  • Strong communication and client service skills
  • Ability to manage multiple transactions and meet deadlines effectively
