A well-established law firm in Orange, CA, specializing in real property and business transactions, is seeking an experienced Transactions Associate Attorney to join its team. This role involves working closely with a Partner who provides transactional, finance, real estate, and regulatory advice to closely-held businesses. The ideal candidate will have a strong background in transactional law, exceptional organizational skills, and the ability to manage client relationships and multiple matters simultaneously.

Duties:

  • Draft and review commercial real estate transaction documents.
  • Review and revise finance agreements.
  • Manage finance closings and ensure all requirements are met.
  • Conduct title and survey reviews.
  • Handle corporate filings, consents, and resolutions.
  • Work with multifamily HUD, FHA, Fannie Mae, or Freddie Mac loan documentation.
  • Conduct legal writing and research to support client matters.
  • Manage and maintain client relationships, exercising discretion and judgment.
  • Research relevant laws and investigate case facts.
  • Prepare documentation related to the formation of legal entities (corporations, LLCs, partnerships).
  • Ensure legal entity compliance and maintenance.

Requirements:

  • Juris Doctor (JD) from a recognized university.
  • Admission to the California Bar (additional bar admissions are a plus).
  • Minimum of 3 years of experience in transactional law.
  • Exceptional organizational skills and attention to detail.
  • Proficiency in computer/word processing skills, including redlining.
  • Ability to multitask and manage several matters simultaneously.
  • Strong team player with excellent communication and interpersonal skills.
  • Reliable, accountable, and highly dependable.
  • Excellent grammar, spelling, and proofreading abilities.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the California State Bar.
