Key Responsibilities:

  • Lead the drafting and negotiation of definitive and ancillary documents for mergers and acquisitions.
  • Manage the deal process from inception to closing, ensuring all legal and regulatory requirements are met.
  • Develop and maintain strong client relationships, serving as the primary point of contact for mergers and acquisitions matters.
  • Supervise, mentor, and provide guidance to junior associates, ensuring high-quality work and professional development.
  • Handle day-to-day demands on a variety of mergers and acquisitions-related matters.
  • Collaborate with other attorneys and legal staff to ensure comprehensive and cohesive legal representation.
  • Conduct due diligence investigations and analysis to identify potential risks and issues in mergers and acquisitions.
  • Advise clients on corporate governance, compliance, and regulatory matters related to mergers and acquisitions.
  • Stay current with relevant laws, regulations, and industry trends to provide proactive and informed legal advice.

Requirements:

  • 6-8 years of experience in mergers and acquisitions, preferably within a large regional, national, or international law firm.
  • Demonstrated expertise in drafting and negotiating definitive and ancillary documents for mergers and acquisitions.
  • Proven ability to manage deal processes and client relationships effectively.
  • Experience supervising and mentoring junior associates.
  • Strong interpersonal and communication skills.
  • High degree of maturity and business sense.
  • Ability to effectively manage internal and external client relationships.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Membership in good standing with the State Bar of California.

Certifications:

  • Active license to practice law in the state of California.
