Job Overview:

A law firm is seeking a Junior to Mid-Level Global Franchise and Supply Network Associate Attorney to join its team in Dallas, TX. This role is integral to the firm's franchise and distribution law practice and focuses on a broad range of legal services, including franchise program development, contract negotiation, dispute resolution, and cross-border transactions. The ideal candidate will demonstrate high academic achievement, possess law firm experience, and exhibit superb writing, drafting, and communication skills.

Key Responsibilities:

  • Franchise Program Development:

    • Assist in developing and structuring franchise and distributor programs for clients across various industries.
    • Provide legal counsel on the creation and implementation of franchise systems.
  • Franchise Contract & Relationship Management:

    • Assess and counsel clients on franchise contract issues, including termination, renewal, and compliance.
    • Draft and negotiate franchise agreements, franchise disclosure documents, and other related contracts.
  • State Registrations & Compliance:

    • Perform state registrations for franchise offerings and ensure state and federal regulations compliance.
    • Maintain and update franchise disclosure documents by regulatory requirements.
  • Supply Chain & Distribution Transactions:

    • Negotiate supply contracts and other commercial transactions related to franchise and distribution networks.
    • Advise on supply chain management, including vendor agreements and procurement contracts.
  • International Development & Cross-Border Transactions:

    • Provide legal support for international franchise development and cross-border transactions.
    • Counsel clients on international franchise laws and assist in navigating legal complexities in global markets.
  • Franchise Dispute Resolution:

    • Assist in resolving franchise disputes, including mediation, arbitration, and litigation support.
    • Develop strategies to minimize litigation risks and manage disputes effectively.

Education & Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the Texas State Bar (or eligibility to waive in).
  • Experience in franchise law, preferably within a law firm setting.

Required Skills & Competencies:

  • High level of academic achievement with strong performance in law school.
  • Superb writing, drafting, and communication skills with attention to detail.
  • Strong analytical and problem-solving abilities to navigate complex legal issues.
  • Experience in international franchise law and cross-border transactions is highly desirable.
  • Ability to manage multiple projects and work under tight deadlines.
  • Team player with a collaborative approach to working with clients and colleagues.

Certifications:

  • Licensed to practice law in the state of Texas.
