A law firm in Los Angeles, CA is seeking a highly qualified Corporate Health Plan Associate Attorney to provide strategic legal counsel to innovative healthcare clients. The role will involve advising clients on a range of transactional matters, with a primary focus on mergers and acquisitions, equity transactions, venture capital investments, and joint ventures. Additionally, the attorney will support clients in corporate governance, operational strategy, and day-to-day corporate legal affairs.

 

Duties:

  • Advise healthcare clients on strategic transactions including mergers and acquisitions, asset and equity acquisition transactions, venture capital and private equity investments, and joint venture transactions.
  • Assist clients with corporate and organizational matters such as entity formations, capital raises, operational strategies, and contract negotiations.
  • Conduct thorough legal research, analyze complex legal issues, and provide strategic guidance and solutions.
  • Draft, review, and negotiate a variety of legal documents, contracts, and agreements related to corporate transactions and governance.
  • Maintain regular communication with clients, manage client relationships effectively, and ensure high levels of client satisfaction.
  • Collaborate closely with internal teams, including other attorneys and support staff, to deliver comprehensive legal services.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of California and active, good standing.
  • 4-6 years of relevant experience practicing law with a strong focus on health plan operations, regulatory compliance, managed care, and state and federal healthcare laws.
  • Expertise in Medicare risk adjustment, STARS, Medicaid matters, provider contracting, and behavioral health parity.
  • In-depth understanding of corporate governance principles and transactional business practices within the healthcare sector.
  • Excellent oral and written communication skills, with the ability to convey complex legal concepts clearly and persuasively.
  • Strong analytical skills, attention to detail, and problem-solving abilities.
  • Proven ability to work independently as well as collaboratively in a dynamic legal environment.
