Job Overview: A law firm in Parsippany, NJ, is seeking a Senior-Level Corporate Associate Attorney with expertise in mergers and acquisitions, private securities offerings, and corporate governance. The ideal candidate will provide strategic legal advice, draft complex transactional documents, and manage junior associates and paralegals.

Duties:

  • Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and related matters.
  • Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements.
  • Conducted due diligence investigations and prepared comprehensive reports for clients.
  • Manage and oversee junior associates and paralegals on various transactions.
  • Collaborate with cross-functional teams to ensure seamless execution of deals.
  • Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients.
  • Represent clients in negotiations, mediation, and other dispute-resolution processes when necessary.
  • Ensure compliance with public securities and stock exchange regulations (e.g., 34 Act, 33 Act) is a plus.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Minimum 5 years of experience in mergers and acquisitions, securities matters, and lending work at a law firm.
  • Strong knowledge of corporate law, securities regulations, and corporate governance principles.
  • Excellent drafting and negotiation skills, with meticulous attention to detail.
  • Proven ability to manage multiple complex projects simultaneously.
  • Exceptional analytical and problem-solving abilities.
  • Excellent interpersonal and communication skills, both written and verbal.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Admission to the New Jersey Bar is required.
