Job Overview: A law firm is seeking a highly experienced Senior Corporate Attorney to join its dynamic legal team in New York City, NY. The ideal candidate will demonstrate expertise in reviewing, drafting, and negotiating a broad range of commercial contracts and a deep understanding of corporate transactions. The role involves conducting legal research, providing strategic advice to clients, managing high caseloads, and contributing to due diligence processes for mergers, acquisitions, and dispositions.

Duties:

  • Review, draft, and negotiate various commercial contracts, including equity and asset purchase agreements, shareholder agreements, partnership and operating agreements, loan agreements, license agreements, financing agreements, service agreements, non-disclosure agreements, and restrictive covenant agreements.
  • Conduct in-depth legal research on various business transactional issues and provide analysis within client budget and time constraints.
  • Assist in due diligence processes for mergers, acquisitions, and dispositions.
  • Manage a high volume of clients and workload responsibilities efficiently.
  • Provide expert advice to clients on contract terms and legal implications of business operations and transactions.
  • Contribute to developing strategies for managing risk exposure and preventing legal problems.
  • Demonstrate excellent communication and administrative skills, maintaining a high level of organization, attention to detail, and the ability to multitask without sacrificing efficiency.
  • Represent the firm in a manner that enhances its reputation.

Requirements:

  • Minimum of 8 years of continuous, specific, and verifiable corporate experience.
  • Bachelor’s degree and J.D. Degree from an accredited institution.
  • Strong oral and written communication skills.
  • In-depth knowledge of laws, rules, state and federal court procedures, forms, deadlines, filing requirements, and portals.
  • Ability to organize factual and legal data into clear and logical arguments.
  • Capability to handle sensitive matters on a confidential basis.
  • Active license as an attorney in the state of New York, Massachusetts, or Rhode Island.
  • High degree of initiative, mature judgment, and discretion.
  • Exceptional organization and time management skills.

Certifications:

  • Active license as an attorney in the state of New York, Massachusetts, or Rhode Island.
