Duties and Responsibilities:

  • Provide legal counsel on a variety of corporate securities matters, including public and private offerings of equity and debt securities.
  • Advise clients on public company reporting requirements and SEC compliance, including periodic filings, registration statements, and disclosures.
  • Draft, review, and negotiate key legal documents such as prospectuses, offering memoranda, and registration statements for securities offerings.
  • Lead and manage due diligence teams in capital markets transactions, ensuring compliance and coordination with specialists.
  • Guide clients through corporate governance issues, advising on best practices and legal requirements.
  • Stay informed on evolving SEC regulations, securities market trends, and corporate governance updates, providing timely advice to clients.
  • Collaborate with internal teams and clients’ advisors to ensure smooth execution of capital markets transactions.
  • Handle multiple projects and assignments concurrently while meeting tight deadlines with minimal oversight.
  • Assist clients in managing SEC filings, regulatory compliance, and corporate governance requirements.

Requirements:

  • 2-5 years of experience in corporate law, with a strong focus on securities law, public company obligations, and capital markets transactions.
  • In-depth knowledge of SEC regulations, corporate governance requirements, and securities offerings.
  • Proven ability to lead due diligence efforts and manage legal teams in securities transactions.
  • Strong drafting skills for legal documents related to public offerings, regulatory compliance, and corporate governance.
  • Ability to manage multiple assignments effectively, meeting deadlines with minimal supervision.
  • Excellent legal research, analytical, and communication skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law in Colorado and in good standing, or eligibility for admission.
