Job Overview:
A reputable law firm is seeking a highly qualified midlevel associate to join its Corporate & Business Transactions practice. This is an excellent opportunity for an attorney with 4-5 years of experience in M&A/Private Equity transactions, particularly in drafting and negotiating transaction agreements. The ideal candidate will possess strong analytical and organizational skills, a solid academic background, and a proven ability to manage complex corporate matters.

Location: Philadelphia, PA 

Duties:

  • Provide legal counsel and manage M&A/Private Equity transactions, including drafting, reviewing, and negotiating transaction agreements.
  • Advise clients on corporate governance, compliance, and general corporate matters.
  • Conduct legal research, prepare documents, and participate in structuring corporate transactions.
  • Assist senior attorneys with the execution of business deals and corporate strategies.
  • Maintain and develop strong client relationships by offering sound legal advice and excellent client service.
  • Collaborate with other legal teams to ensure smooth transaction processes.
  • Participate in business development efforts, contributing to the firm’s growth.

Requirements:

  • 4 to 5 years of law firm experience in corporate law, specifically M&A/Private Equity transactions.
  • Strong experience with drafting and negotiating transaction documents.
  • Ability to manage multiple projects and work effectively under pressure.
  • Excellent written and verbal communication skills.
  • Active membership in the bar in the state of the office location.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active bar membership in the state of the office location.

Skills:

  • Exceptional legal research, drafting, and negotiation skills.
  • Strong organizational, time-management, and analytical abilities.
  • Ability to work collaboratively within a team.
