Duties and Responsibilities:

  • Advise clients on legal issues related to mergers and acquisitions, licensing agreements, joint ventures, and other transactions within the life sciences industry.
  • Draft, review, and negotiate contracts, including research and development and supply and distribution agreements.
  • Conduct due diligence and assess legal risks associated with transactions.
  • Collaborate with clients and internal teams to develop and implement strategies for transaction structuring.
  • Stay updated on relevant laws, regulations, and industry trends to provide informed legal guidance.
  • Assist in preparing legal opinions, memoranda, and other legal documents.
  • Represent clients in negotiations and provide strategic advice throughout the transaction process.
  • Support senior attorneys and partners on complex cases and projects.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar.
  • Minimum of 2 years of experience in life sciences transactions or a related field.
  • Proven track record of handling complex transactions and providing strategic legal advice.
  • Strong understanding of life sciences industry regulations and standards.

Education:

  • JD degree from an accredited law school.
  • A bachelor’s degree in a related field is preferred.

Certifications:

  • Admission to the New York State Bar is required.
  • Additional certifications or specialized training in life sciences law is a plus.
