Job Overview:
A prestigious law firm is seeking an experienced Of Counsel to join its Finance group, specifically the Structured Finance subgroup. The ideal candidate will bring at least 9 years of experience in structured finance, securitization, and CLO (Collateralized Loan Obligation) work, and possess strong analytical, writing, and communication skills. This role offers the opportunity to work with top-tier clients in a collaborative and dynamic environment.

Location:

Duties:

  • Provide legal counsel and expertise in structured finance, securitization, and CLO transactions.
  • Draft, review, and negotiate complex agreements and documentation.
  • Offer strategic advice to clients on structured finance deals.
  • Collaborate with colleagues to manage client relationships and transactions.
  • Conduct legal research and provide analysis on relevant finance and securities laws.
  • Mentor and guide junior attorneys and staff in the finance group.
  • Participate in business development initiatives and client presentations.
  • Ensure compliance with all relevant regulations and industry standards.

Requirements:

  • Minimum 9 years of experience in structured finance, securitization, or CLO transactions.
  • Prior experience with an AmLaw 100 law firm preferred.
  • Strong attention to detail and ability to manage complex legal matters.
  • Excellent organizational and time management skills.
  • Ability to work both independently and collaboratively in a team environment.
  • Ability to handle multiple competing demands and meet deadlines in a fast-paced environment.
  • Proven communication and negotiation skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice in the jurisdiction in which the candidate is applying.

Skills:

  • Strong analytical and writing skills.
  • Excellent business judgment and problem-solving abilities.
  • Strong communication skills, both verbal and written.
  • Ability to influence and persuade clients and colleagues.
  • Knowledge of structured finance, securitization, and CLO laws and regulations.
  • Strong conceptual thinking and legal research skills.
