Job Title: Private Equity Attorney

Job Overview: A prestigious law firm in Chicago, IL, is seeking an experienced Private Equity Attorney. This position involves working on high-level private equity transactions, mergers, and acquisitions in a dynamic and collaborative legal environment. The ideal candidate will have a strong understanding of business strategy, excellent legal drafting skills, and the ability to manage complex client relationships.

Duties:

  • Draft and negotiate purchase agreements, merger agreements, LLC, and LP agreements, along with other related transaction documents.
  • Collaborate closely with private equity fund and portfolio company clients, acting as an integral part of their business teams.
  • Provide strategic legal counsel on private equity transactions and mergers and acquisitions.
  • Oversee day-to-day legal requirements of private equity clients, including transaction structuring and compliance.
  • Ensure thorough attention to detail and analytical review of legal documents.
  • Lead projects in a team-oriented and fast-paced environment.

Requirements:

  • 4-5 years of experience in private equity, mergers, and acquisitions.
  • Strong drafting, writing, and analytical skills.
  • Excellent organizational, interpersonal, and project management skills.
  • Prior experience working with private equity sponsors in a large law firm setting.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Active Bar membership in Illinois or the ability to obtain it.

Skills:

  • Excellent verbal and written communication.
  • Strong attention to detail and problem-solving abilities.
  • Ability to work both independently and as part of a team.
  • Business acumen and strategic thinking.
  • Proficiency in managing multiple client relationships and projects simultaneously.
