Corporate Associate Attorney

Job Overview:

A law firm in Bridgewater, NJ, is seeking a skilled and experienced Corporate Associate Attorney to provide comprehensive legal counsel to businesses throughout their corporate lifecycle. Duties:

• Provide legal counsel to businesses in all phases of their corporate existence, including formation, mergers, and acquisitions.
• Draft, review, and negotiate entity governance documents, including bylaws, operating agreements, and shareholder agreements.
• Support clients in securities transactions, private placements, investments, and M&A activities.
• Advise on compliance with relevant laws and regulations affecting corporate transactions.
• Collaborate with clients and other legal professionals to achieve favorable outcomes in complex transactions and corporate matters.
• Conduct legal research and stay updated on changes in corporate, securities, and transactional law.

Requirements:

• Juris Doctorate Degree from an accredited law school.
• Bar admission in the state of New Jersey is required.
• 4-6 years of experience in corporate law, securities, and transactional matters.
• Proven experience in mergers and acquisitions, securities, or financing transactions.
• Excellent contract drafting skills, with a strong ability to create and interpret complex legal documents.
• Superior writing and communication skills, with the ability to present legal concepts clearly to clients and colleagues.

Education:

• Juris Doctorate Degree from an accredited law school.

Certifications:

• Bar admission in New Jersey.

Skills:

• Expertise in corporate governance, mergers and acquisitions, and securities transactions.
• Strong drafting and negotiation skills for entity governance documents and transactional agreements.
• Excellent written and verbal communication skills.
• Ability to analyze and interpret complex legal issues and provide clear, actionable advice.
• Familiarity with legal practices and regulations in jurisdictions beyond New Jersey is a plus.
