A law firm seeks an experienced Complex Litigation Associate to join its Wilmington office. This position offers the opportunity to work on high-profile cases, representing companies and their leadership teams in complex commercial litigation, stockholder class actions, and derivative actions before the Delaware Court of Chancery. The ideal candidate will have 2-6 years of experience in litigation, with an emphasis on complex corporate matters. Experience with internal investigations for special board committees is a plus, though not a requirement.

Duties:

  • Represent clients in stockholder class actions, derivative suits, and other complex commercial disputes, particularly in the Delaware Court of Chancery.
  • Collaborate with senior attorneys to develop case strategies and manage litigation processes.
  • Draft and review legal documents, including pleadings, motions, and discovery requests.
  • Conduct legal research and provide detailed analyses of case law and legal precedents.
  • Communicate with clients, providing regular updates and strategic advice regarding ongoing cases.
  • Assist in internal investigations on behalf of special committees, if applicable.
  • Attend hearings and depositions, participating in the preparation and execution of witness examinations.

Requirements:

  • 2-6 years of experience in complex litigation, particularly in stockholder class actions, derivative suits, and commercial litigation.
  • Strong understanding of the Delaware Court of Chancery and corporate law.
  • Ability to handle high-pressure situations with professionalism and clarity.
  • Exceptional academic credentials and strong verbal, written, and interpersonal communication skills.
  • Active membership in the Delaware Bar or eligibility for admission.
  • Experience conducting internal investigations is advantageous but not required.
  • Proven ability to collaborate in a team environment and deliver results under tight deadlines.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the Delaware Bar (or eligibility for admission).

  • Strong litigation experience, with a focus on corporate and commercial law matters.
  • Excellent research, writing, and analytical skills.
  • High proficiency in preparing legal documents, such as motions, pleadings, and discovery responses.
