A law firm in Beverly Hills is seeking a Tax Transaction Associate Attorney to join their dynamic team. The ideal candidate will possess extensive transactional tax experience and be crucial in negotiating, drafting, and advising on tax-related provisions across various transaction documents.

Duties and Responsibilities:
• Negotiate and draft tax-related provisions in transactional documents such as purchase agreements, merger agreements, partnership agreements, and credit agreements.
• Conduct thorough research on complex tax issues and provide insightful analysis and recommendations.
• Assist in structuring the tax aspects of corporate and partnership transactions, ensuring compliance with regulatory requirements.
• Collaborate with senior attorneys and clients to develop innovative tax strategies that align with business objectives.
• Provide legal support and guidance on tax planning related to mergers and acquisitions, private equity, debt finance, bankruptcy/financial restructuring, special situations, and private credit transactions.

Requirements:
• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the State Bar (or eligibility for admission via waiver or reciprocity).
• 5 years of transactional tax experience at a large law firm or equivalent experience at a Big Four accounting firm.
• Strong understanding of federal, state, and international tax laws and regulations.
• Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly and concisely.
• Proven ability to manage multiple priorities and deadlines in a fast-paced environment.
• Stellar academic credentials and a demonstrated record of achievement.

Preferred Skills:
• Experience with tax planning strategies and techniques for high-net-worth individuals and corporate entities.
• Familiarity with tax implications of cross-border transactions and transfer pricing.
• Proficiency in tax research tools and software (e.g., CCH, Bloomberg Tax).
• Ability to work collaboratively in a team-oriented environment while independently managing responsibilities.

Certifications:
CPA certification or LLM in Taxation is preferred.
