Job Overview: A law firm in Minneapolis, MN, is seeking a skilled Tax Associate Attorney focusing on mergers and acquisitions (M&A). The ideal candidate will have substantial experience in tax law, particularly within M&A transactions, and possess an LL.M. in Taxation.

Duties:

  • Conduct legal research and analysis of federal, state, and international tax matters.
  • Advise clients on tax implications of mergers, acquisitions, divestitures, and other corporate transactions.
  • Draft and review transactional documents, including tax opinions, memoranda, and agreements.
  • Assist in tax due diligence and provide support during deal negotiations.
  • Collaborate with other attorneys and professionals to provide comprehensive tax advice and solutions.

Requirements:

  • Minimum of 4 years of tax law experience, specifically on mergers and acquisitions.
  • Experience working at an AmLaw 200 firm or within the federal Tax M&A group at a Big 4 Accounting firm preferred.
  • LL.M. in Taxation from an accredited law school.
  • Admitted to practice law in Minnesota or eligible for admission through reciprocity.

  • Ability to work independently and as part of a team in a fast-paced environment.
  • Effective communication and interpersonal skills.

Certifications:
