Job Overview: A law firm seeks a Finance & Restructuring Counsel to join its dynamic team. This position is ideal for an attorney with at least seven years of experience handling corporate trust transactions. The successful candidate will represent financial institutions and corporate trust clients in matters such as structured finance, municipal debt, and corporate debt. The role offers an opportunity to work in a collaborative environment, managing multiple complex transactions with minimal supervision while mentoring junior attorneys and paralegals.

Duties:

  • Represent financial institutions and corporate trust clients in corporate trust transactions, including structured finance (RMBS, CMBS, ABS), municipal debt, and corporate debt issuances.
  • Review, negotiate, and draft various transactional agreements, including trust indentures, loan agreements, agency agreements, custodial agreements, SaaS agreements, and more.
  • Manage and supervise multiple transactions and assignments simultaneously, ensuring deadlines and client needs are met.
  • Provide high-level strategic legal advice to clients, ensuring compliance with all applicable regulations.
  • Collaborate effectively with attorneys, paralegals, and legal staff, managing a team of junior professionals.
  • Cultivate strong client relationships through excellent client service and communication skills.

Requirements:

  • Minimum of 7 years of transactional experience, especially in corporate trust and finance-related matters, including structured finance, municipal debt, and corporate debt issuances.
  • Strong experience in negotiating, reviewing, and drafting a wide range of transactional agreements.
  • Proven ability to manage multiple assignments simultaneously, working efficiently and independently.
  • Demonstrated leadership skills and the ability to mentor junior attorneys and paralegals.
  • Excellent written and verbal communication skills, with a focus on clear and precise legal drafting.
  • Client-focused mindset with the ability to build and maintain strong relationships.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active bar membership in at least one jurisdiction is required.

Skills:

  • Expertise in structured finance, corporate trust, municipal debt, and corporate debt transactions.
  • Strong drafting and negotiating skills across various transactional agreements.
  • Ability to manage complex transactions and assignments with minimal supervision.
