Senior Corporate Associate Attorney or Counsel

Job Overview: A leading law firm is seeking a Senior Corporate Associate Attorney or Counsel with 5+ years of experience in securities law to join its China Practice in New York. This position is ideal for an experienced attorney who will advise both domestic and foreign companies with operations primarily in China on a wide range of corporate and securities matters.

Location:

Duties:

• Advise public and private companies with operations primarily in China on corporate and securities matters.
• Handle securities offerings, SEC reporting, and compliance matters.
• Manage mergers and acquisitions (M&A), corporate governance, and financing transactions.
• Assist clients with public offerings or private placements in the United States, ensuring compliance with SEC and other federal and state regulations.
• Communicate with investors, regulators, and self-regulatory organizations (SROs).
• Conduct legal research, review, and analyze periodic reports filed with the SEC.
• Work on international transactions involving cross-border legal matters.

Requirements:

• 5+ years of experience in securities law.
• Strong knowledge of U.S. securities regulations, SEC reporting, and compliance.
• Experience with public offerings, private placements, and international transactions.
• Excellent communication skills, with the ability to work with regulators, investors, and corporate clients.
• Proficiency in both English and Mandarin Chinese is required.

Education:

• Juris Doctor (JD) degree or foreign equivalent from an accredited law school.

Certifications:

• Admission to the New York State Bar or another relevant jurisdiction.

Skills:

• Expertise in securities law and corporate governance.
• Proficiency in both English and Mandarin Chinese.
• Strong legal drafting, negotiation, and communication skills.
• Ability to manage complex corporate transactions and compliance matters.
