Job Overview:

A law firm is seeking a highly skilled and experienced Mid-to-Senior Tax-Exempt Organizations and Philanthropy Associate Attorney. The ideal candidate will have substantial experience advising private foundations, charitable organizations, and philanthropists on complex legal and tax matters. This position involves guiding and structuring nonprofits, maintaining tax compliance, navigating federal and state audits, and supporting philanthropy efforts. The role is based in Philadelphia, PA.

Duties and Responsibilities:

  • Provide legal counsel to private foundations and charitable organizations on complex legal and tax issues.
  • Form and obtain tax exemptions for nonprofit corporations and charitable trusts.
  • Advise private foundations on grant agreements, tax compliance, and succession planning.
  • Counsel philanthropists on charitable gifts, including the utilization of donor-advised funds.
  • Advise large 501(c)(3) organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).
  • Structure mergers, affiliations, and joint ventures of nonprofit organizations.
  • Advise on complex structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations in federal and state audits involving tax and charitable issues.
  • Draft, review, and negotiate agreements for nonprofit organizations, including grant agreements and corporate documents.
  • Stay up-to-date with changes in tax law and nonprofit regulations to ensure clients remain compliant with legal requirements.

Requirements:

  • Experience advising tax-exempt organizations, private foundations, and philanthropists on tax and legal issues.
  • Experience in handling federal and state audits for tax-exempt entities.
  • Demonstrated experience in structuring complex nonprofit and for-profit entities.
  • Ability to manage a diverse portfolio of clients, including large 501(c)(3) organizations, private foundations, and donors.
  • Strong legal research, writing, and analytical skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the State Bar of Pennsylvania or the ability to waive into the jurisdiction.

Skills:

  • Extensive knowledge of nonprofit tax laws and regulations, including IRS Section 501(c)(3).
  • Strong negotiation, drafting, and contract review skills.
  • Excellent communication and interpersonal skills to work effectively with clients and colleagues.
  • High attention to detail and the ability to manage multiple projects simultaneously.
  • Strategic thinker with the ability to structure and execute complex transactions.
  • Proficient in legal research and analysis.
