Job Overview

A leading law firm is seeking a mid-level associate to join its Corporate/M&A practice. The ideal candidate will be a self-starter with excellent client management skills and a strong background in mergers and acquisitions. This is an opportunity to work on both private and public company buy- and sell-side transactions, document drafting, due diligence, and other aspects of M&A deals. Duties

  • Work on all aspects of M&A transactions, including private and public company buy- and sell-side deals.
  • Draft and negotiate M&A transaction documents such as purchase agreements, disclosure schedules, and ancillary agreements.
  • Conduct and manage due diligence processes.
  • Assist in structuring and executing transactions from inception to closing.
  • Provide strategic advice to clients on M&A matters and help guide them through the negotiation and execution phases.
  • Collaborate with senior attorneys and cross-functional teams to deliver exceptional client service.

Requirements

  • 2 to 6 years of experience in M&A, including substantial exposure to deal documentation and due diligence.
  • Strong client management and communication skills.
  • Demonstrated ability to work on complex transactions and deliver high-quality work product.
  • Experience in both public and private company transactions.
  • Ability to work independently and manage multiple projects simultaneously.
  • A strong team player with a collaborative approach to client service.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active membership in a state bar (preferably Florida).

Skills

  • Strong drafting and negotiation skills.
  • Excellent analytical and problem-solving abilities.
  • In-depth understanding of M&A processes, including due diligence, document drafting, and transaction structuring.
  • Ability to manage multiple priorities and work efficiently under tight deadlines.
  • Excellent communication skills, both written and oral.
