Job Overview:

Location:

Duties:

  • Advise public companies on:

    • SEC reporting and disclosure compliance

    • Corporate governance matters

    • Nasdaq and NYSE listing requirements

  • Represent issuers and/or underwriters in capital markets transactions, including:

    • Initial Public Offerings (IPOs)

    • Equity and debt offerings

    • Private Investments in Public Entities (PIPEs)

    • At-the-market (ATM) offerings

  • Provide day-to-day legal counsel to public companies

  • Assist clients in the technology and life sciences industries with complex legal needs

Requirements:

  • 4–6 years of legal experience in public company representation and capital markets transactions

  • Proven ability to advise clients on SEC regulations and stock exchange rules

  • Experience managing sophisticated transactional work independently or as part of a team

  • Background in working with technology or life sciences companies is a strong plus

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active membership in at least one U.S. state bar

  • Must meet bar admission requirements for the location of the office

Skills:

  • Strong understanding of U.S. securities laws and corporate governance practices

  • Excellent legal drafting, analysis, and problem-solving abilities

  • Effective verbal and written communication skills

  • Ability to manage multiple priorities in a fast-paced, client-driven environment
