A law firm in San Francisco is seeking a Corporate Associate Attorney with 4-6 years of experience in complex corporate and transactional matters. The ideal candidate will have a strong background in public company M&A, private company finance and capital markets transactions, corporate governance counseling, and securities law.

Job Duties:

  • Conduct legal research and analysis on complex corporate issues.
  • Draft and review transactional documents including merger agreements, stock purchase agreements, and corporate governance documents.
  • Assist in due diligence investigations and preparation of disclosure schedules.
  • Provide advice and counsel to clients on corporate governance matters.
  • Assist with SEC filings and compliance with the ‘33 and ‘34 Act requirements.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of California and in good standing.
  • 4-6 years of experience practicing corporate law, with a focus on M&A, finance transactions, and securities.
  • Proven track record in handling complex corporate matters independently.
  • Strong understanding of corporate governance principles and SEC regulations.
  • Excellent drafting, analytical, and communication skills.
  • Ability to manage multiple priorities and work effectively under pressure.
  • Prior experience in a reputable law firm preferred.

Skills:

  • Proficiency in legal research tools and databases.
  • Exceptional writing skills with attention to detail.
  • Strong interpersonal skills and ability to work collaboratively in a team environment.
  • High level of professionalism and ethical conduct.

Certifications (if applicable):

  • Any additional certifications related to corporate law or securities (e.g., Certified Securities Compliance Professional) would be advantageous.
