Job Overview

A law firm is seeking a mid-Senior-Level Capital Markets Associate Attorney to join its team in Charlotte, NC. This role involves providing legal expertise and support in public and private equity offerings, including initial and follow-on offerings, and handling ongoing reporting requirements for public companies. The ideal candidate will have a solid academic background, excellent client management skills, and the ability to draft and negotiate complex legal documents.

Job Duties

  • Manage and execute public and private equity offerings, including IPOs and follow-on offerings.
  • Prepare and review proxy and S-4 registration statements concerning business combination transactions.
  • Interface with the SEC and other regulatory bodies.
  • Advise clients on ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Represent both issuers and underwriters in various transactions.
  • Provide legal counsel on SPACs, REITs, and debt offerings.
  • Offer day-to-day advice to public companies on corporate governance matters.
  • Retain and grow existing client relationships.
  • Negotiate and draft complex legal documents.

Requirements

  • 4+ years of experience in public and private equity offerings.
  • Experience with SEC regulations and ongoing reporting requirements for public companies.
  • Experience representing both issuers and underwriters is beneficial.
  • Experience with SPACs, REITs, and debt offerings is helpful.
  • Strong client management skills and the ability to retain and grow existing clients.
  • Admission to one or more State Bars is required.

Education

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic background.

Certifications

  • Admission to one or more State Bars.
