A law firm in Houston, TX is seeking a talented M&A and Energy Transactional Associate Attorney to join their dynamic corporate practice. The position offers the opportunity to work on complex mergers and acquisitions (M&A) and energy-related transactions, with a particular focus on industries such as power, renewable energy, oil, and gas. The successful candidate will provide legal advice and support from deal inception through closing, collaborating closely with legal and business teams. Duties and Responsibilities:

  • Handle M&A transactions, including drafting, negotiating, and reviewing key transaction documents such as purchase agreements, joint venture agreements, and other corporate contracts.
  • Provide legal counsel to clients in the energy sector, particularly in areas including power, renewable energy, oil, and gas.
  • Collaborate with legal and business teams to structure, negotiate, and close transactions.
  • Manage all aspects of corporate transactions from due diligence to closing, ensuring compliance with relevant laws and regulations.
  • Assist with project finance, infrastructure development, construction contracts, and/or tax equity transactions.
  • Conduct thorough legal research on corporate, energy, and regulatory matters.
  • Represent clients in negotiations and work closely with opposing counsel and other stakeholders to resolve legal issues.
  • Advise clients on legal risks and regulatory compliance throughout the transaction process.
  • Maintain professional client relationships and provide practical, business-oriented legal solutions.
  • Work on billable hours while maintaining high-quality client service and delivering timely results.

Requirements:

  • 3-6 years of experience in corporate transactions, preferably gained at a sophisticated national law firm.
  • Specific experience working in the energy sector, including power, renewable energy, oil, and gas.
  • Familiarity with project finance, infrastructure development, construction contracts, and/or tax equity transactions.
  • Strong negotiation and drafting skills, particularly with regard to key transaction documents.
  • Excellent interpersonal and oral communication skills, with the ability to advise legal and business teams from deal inception through closing.
  • Capable of managing multiple projects simultaneously, prioritizing deadlines, and working efficiently under pressure.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic record, with a focus on corporate law and/or energy-related coursework.
  • Licensed to practice law in Texas, or the ability to become licensed in Texas is preferred.

Skills:

  • Strong legal research, writing, and analytical abilities.
  • Proficiency in drafting and reviewing complex corporate agreements.
  • Detail-oriented with excellent organizational and project management skills.
  • Ability to work independently and collaboratively within a team setting.
