Job Overview:
A prestigious law firm seeks an experienced Tax Associate Attorney to join its reputable Tax practice. This role will involve working on complex federal transactional tax matters, focusing on mergers and acquisitions, structuring transactions, and providing entity formation advice. The ideal candidate will have experience with high-level transactional work and possess strong communication skills to engage with clients and team members alike.

Duties:

  • Provide expert legal counsel on transactional tax matters, including mergers and acquisitions and general business transactions.
  • Assist in structuring transactions and advising on entity formation, including choice of entity strategies.
  • Draft, review, and negotiate partnership agreements.
  • Collaborate with senior attorneys and clients to ensure compliance with federal tax laws and regulations.
  • Manage client relationships and ensure efficient handling of tax-related issues in business transactions.
  • Maintain up-to-date knowledge of tax legislation and regulations to provide proactive guidance.

Requirements:

  • Minimum of 3 years of experience in federal transactional tax matters, with a focus on mergers and acquisitions, business transactions, and entity formation.
  • Strong background in transactional tax law and partnership agreements.
  • Excellent oral and written communication skills to effectively interact with clients and colleagues.
  • Proven ability to work independently and as part of a team on complex legal matters.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to practice law in at least one of the following jurisdictions: California, Florida, Illinois, Massachusetts, New Jersey, New York, Pennsylvania, Ohio, Oregon, Tennessee, or Washington, DC.

Skills:

  • Strong expertise in mergers and acquisitions, transaction structuring, and tax matters.
  • Experience drafting and negotiating business agreements, especially partnership agreements.
  • Proficiency in tax compliance and legal analysis.
  • Excellent interpersonal and communication skills.
