Job Overview: An established law firm specializing in M&A, real estate, and business law is seeking an experienced Senior Transaction Attorney. This position involves representing franchisee owners of multi-unit franchised businesses in various transactions. The ideal candidate will have a strong background in M&A, real estate development, and commercial leasing, with a focus on asset transactions. This role is suited for a collaborative individual who values client-centered service and teamwork. Experience with franchise agreements is advantageous but not mandatory.

Location:

  • Seattle, WA

Duties:

  • Review and negotiate documents related to business and commercial real estate transactions, including sales, acquisitions, and leases.
  • Interpret, draft, and negotiate leases and related contracts for commercial properties and business opportunities.
  • Draft, review, and negotiate letters of intent, memoranda of understanding, and agreements for the purchase of franchised businesses and real estate.
  • Advise prospective franchisees on Franchise Disclosure Documents and assist with Franchise Agreements, Multi-unit Franchise Agreements, Area Development Agreements, and Master Franchise Agreements.
  • Provide counsel on partnership agreements, buy-sell agreements, operating agreements, and bylaws.
  • Offer strategic insight on case direction, caseload, and staffing to partners.

Requirements:

  • Active member of the Washington State Bar in good standing.
  • Proven experience in real estate development and leasing, mergers and acquisitions, and franchise/distribution law.
  • Strong negotiation and contract drafting skills.

Education:

  • Juris Doctorate (JD)

Certifications:

  • Bar admission in Washington State required.

Skills:

  • Proficient in Westlaw and other legal research tools.
  • Excellent analytical and problem-solving skills with attention to detail.
  • Strong communication skills, both written and verbal, with the ability to manage complex transactions.
  • Ability to work effectively in a team-oriented and client-centered environment.
