A law firm in Dallas, TX is seeking a highly skilled Corporate Securities Associate Attorney focused on securities matters. The ideal candidate will have significant experience in leading '34 Act compliance and '33 Act securities work, with a robust background in capital markets transactions. This position requires a self-motivated, confident, and personable team player with outstanding professional and academic credentials.

 

Duties:

  • Lead compliance efforts under the '34 Act and '33 Act.
  • Manage and execute public and private offerings of equity, debt, and other securities.
  • Advise on corporate governance matters and ensure adherence to exchange listing requirements.
  • Handle compliance issues related to Rule 144, Section 13, and Section 16.
  • Provide counsel on executive compensation matters.
  • Collaborate with other attorneys and support staff to deliver comprehensive legal support for clients.
  • Stay informed on regulatory changes and industry trends affecting securities law.
  • Prepare and review disclosure documents, including annual reports, proxy statements, and registration statements.
  • Assist clients with SEC reporting and compliance obligations.
  • Conduct due diligence and provide legal advice on mergers and acquisitions and other strategic transactions.

 

Requirements:

  • Admission to practice law in the state of Texas.
  • Minimum of 3 years of experience in securities law, including '34 Act and '33 Act compliance.
  • Demonstrated experience with capital markets transactions.
  • Strong understanding of corporate governance, exchange listing requirements, Rule 144, Section 13, and Section 16 issues.
  • Familiarity with executive compensation.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Licensed to practice law in the state of Texas.
