Mid-level to Senior Corporate Public Companies and Capital Markets Associate Attorney

Job Overview:

A leading law firm is seeking a mid-level to senior Corporate Associate Attorney with expertise in public companies and capital markets. This role involves working with public company reporting compliance, governance, SEC compliance, and capital market transactions. Ideal candidates have experience representing issuers or investment banks in various capital markets transactions, with a preference for those who have worked with technology and/or life sciences companies.

Location:

• Austin, TX

Duties:

• Manage public company reporting compliance, including SEC filings and disclosures
• Address day-to-day governance and compliance issues for public companies, including Nasdaq/NYSE requirements
• Represent issuers or investment banks in capital market transactions such as:
  • IPOs
  • Equity and debt offerings
  • Private investments in public entities (PIPEs)
  • At-the-market offerings
• Provide support and guidance to clients in the technology and life sciences sectors

Requirements:

• Proven experience in public company compliance, disclosure, and governance
• Experience with capital markets transactions
• Knowledge of SEC regulations and Nasdaq/NYSE compliance
• Previous experience with technology and/or life sciences companies is preferred

Education:

• Juris Doctor (JD) degree from an accredited law school

Certifications:

• Active bar membership in good standing in the relevant jurisdiction(s)

Skills:

• Strong understanding of public company governance and compliance
• Proficiency in capital market transactions and SEC regulations
• Excellent communication and client service skills
• Ability to manage multiple transactions and deadlines effectively
