A law firm seeks a Mid-level Investment Funds Associate to join its dynamic and growing team in Washington, D.C. This position is ideal for an attorney with a solid background in the formation and investment of private equity, venture capital, real estate, and hedge funds, both domestically and internationally. The successful candidate will have the opportunity to work on complex transactions involving secondary deals, separately managed accounts, and carry vehicles, contributing to the firm's high-level investment funds practice. This is a hybrid role with a balance of office and remote work.

Duties:

  • Investment Funds Transactions:

    • Assist in the formation of private equityventure capitalreal estate, and hedge funds.
    • Support secondary transactions and the structuring of separately managed accounts and carry vehicles.
    • Provide strategic advice on fund formation and investment opportunities, including legal and regulatory considerations.
  • Legal Drafting & Documentation:

    • Draft, review, and negotiate a wide range of fund-related documents, including partnership agreementsinvestment management agreements, and subscription documents.
    • Work on structuring and structuring amendments, side letters, and private placements.
  • Client Management:

    • Maintain direct communication with clients, providing legal advice and assisting in the negotiation and structuring of fund investments.
    • Manage client expectations and relationships effectively, delivering high-quality legal services.
  • Collaboration & Mentorship:

    • Collaborate with senior associates and partners to ensure seamless execution of complex transactions.
    • Provide mentorship and guidance to junior attorneys and support staff on investment funds-related matters.

Requirements:

  • Experience:

    • A minimum of 5 years of experience in investment funds, with a focus on private equity, venture capital, real estate, and hedge funds.
    • Experience in secondary transactionsseparately managed accounts, and carry vehicle structuring is preferred.
  • Skills:

    • Strong analytical and problem-solving skills, with the ability to think conceptually and approach challenges with creative solutions.
    • Excellent organizational and time management skills, with the ability to handle multiple projects and deadlines.
    • High level of attention to detail in drafting and reviewing legal documents.
  • Communication:

    • Excellent written and verbal communication skills, with the ability to articulate complex legal concepts clearly and persuasively.
    • Strong interpersonal skills and the ability to collaborate effectively with clients, colleagues, and stakeholders.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Bar Admission: Must be admitted to practice in the jurisdiction where you are applying (DC preferred).
