Duties:

  • Provide expert legal advice and support in the formation and operation of private funds, including private equity, venture capital, hedge funds, mezzanine debt funds, and real estate funds.
  • Draft, negotiate, and review fund formation documents, investment agreements, and related legal documents.
  • Manage relationships with clients and handle complex, high-stakes matters with a focus on achieving practical solutions.
  • Advise clients on regulatory compliance, governance, and investment strategies for private fund structures.
  • Collaborate with internal teams and other departments to deliver tailored legal services to clients.
  • Supervise junior associates and provide mentorship and guidance.
  • Conduct legal research and stay updated on industry trends and regulatory changes affecting private funds.

Requirements:

  • 5-6 years of experience working on the formation and operation of private funds (private equity, venture capital, hedge funds, etc.).
  • Strong written and verbal communication skills with the ability to explain complex legal issues clearly.
  • Proven track record of managing client relationships and leading legal matters.
  • High level of attention to detail and the ability to work independently and in a team setting.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Admission to MA State Bar.

Skills:

  • Strong leadership abilities and a proactive approach to legal challenges.
  • Ability to work under pressure and manage multiple matters simultaneously.
  • Excellent drafting, negotiation, and communication skills.
  • Familiarity with regulatory frameworks governing private funds and investment structures.
