Job Overview: A law firm is seeking a highly skilled and experienced Corporate Mergers and Acquisitions Private Equity Associate Attorney to join its dynamic team in Houston, TX. The ideal candidate will have a strong background in mergers and acquisitions and private equity transactions, excellent writing and analytical skills, and experience working in an Am Law 100 firm. This role requires a deep understanding of corporate law, exceptional problem-solving abilities, and a commitment to providing high-quality legal services.

Duties:

  • Handle complex mergers and acquisitions (M&A) and private equity transactions from inception to closing.
  • Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, merger agreements, joint venture agreements, and other related documents.
  • Conduct thorough due diligence investigations, identifying and addressing potential legal issues and risks.
  • Advise clients on transaction structuring, regulatory compliance, and corporate governance matters.
  • Collaborate with internal teams and external advisors to ensure seamless execution of transactions.
  • Provide ongoing legal support to clients on post-closing integration and other corporate matters.
  • Maintain up-to-date knowledge of relevant laws and regulations affecting corporate transactions.
  • Assist in business development activities, including client presentations and drafting proposals.
  • Mentor and supervise junior associates and support staff as needed.

Requirements:

  • 4-6 years of mergers and acquisitions and private equity transactional experience in an Am Law firm.
  • Proven track record of handling complex M&A and private equity transactions.
  • Excellent writing and analytical skills.
  • Strong interpersonal and communication skills, with the ability to work effectively with clients, colleagues, and external parties.
  • Demonstrated ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • High level of professionalism and ethical standards.
  • Admission to the Texas Bar is required.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Admission to the Texas Bar.

Skills:

  • Proficiency in drafting and negotiating complex transactional documents.
  • Strong analytical and problem-solving abilities.
  • Ability to conduct thorough due diligence and identify potential legal issues.
  • Excellent organizational skills and attention to detail.
