A law firm in Miami, FL is seeking a talented Financial Services Associate Attorney with 4-6 years of experience representing financial institutions and non-bank lenders in complex financing transactions. The ideal candidate will possess strong academic credentials, big law experience, and demonstrated success in handling sophisticated financing deals. This role requires excellent drafting skills, a client-focused mindset, and the ability to drive transactions to closing efficiently.

Duties:

  • Represent financial institutions and non-bank lenders in a wide range of complex financing transactions, including sponsor-backed acquisition financings, asset-based lending, cash flow lending, subordinated debt, first-out last-out financings, and mezzanine transactions.
  • Draft, review, and negotiate key financing documents such as loan agreements, security agreements, and inter-creditor agreements.
  • Collaborate with clients, opposing counsel, and other stakeholders to drive transactions to successful completion.
  • Provide legal counsel on structuring and executing various forms of secured and unsecured lending transactions.
  • Ensure compliance with applicable state and federal regulations during all stages of financing transactions.
  • Interface directly with clients to provide legal guidance, discuss transaction details, and address concerns throughout the process.

Requirements:

  • Juris Doctor (JD) degree from a top-tier, accredited law school.
  • Admission to the Florida Bar (preferred) or eligibility for admission.
  • 4-6 years of experience handling complex financial transactions, with a focus on representing financial institutions and non-bank lenders.
  • Significant experience working on sophisticated transactions in a large law firm setting.

Certifications:

  • Admission to the Florida Bar (required or eligible for admission).
  • Additional certifications in finance law or related fields (preferred but not required).

Skills:

  • Strong drafting and negotiation skills, with the ability to create and review complex financial agreements.
  • Excellent communication skills with the ability to interface directly with clients and opposing counsel.
  • Tenacity and problem-solving skills necessary to drive transactions to closing in a timely and effective manner.
  • Deep understanding of the legal aspects of acquisition financing, asset-based lending, cash flow lending, and other related financial transactions.
  • Strong analytical skills and attention to detail, ensuring thorough review of transaction documents and compliance with applicable laws.
