Job Overview: A top-tier law firm is seeking a talented associate to join its M&A and Private Equity team in NY. The ideal candidate will have significant experience in M&A transactions and private equity matters. This role offers the opportunity to manage high-level transactions, work independently, and develop direct client relationships. Associates will work closely with senior attorneys and take on substantial responsibilities, gaining exposure to a broad range of corporate matters.

Location:

  • New York City, NY

Duties:

  • Advise corporate clients and private equity funds on acquisitions, dispositions, minority investments, and other similar transactions.
  • Provide guidance on general corporate matters, including corporate governance and structuring.
  • Draft and review transaction documents such as purchase agreements, shareholder agreements, and related contracts.
  • Manage complex M&A deals and ensure smooth execution from start to finish.
  • Take ownership of client matters, developing direct relationships with clients.
  • Handle a high degree of responsibility in a fast-paced environment.
  • Contribute to business development efforts and client relationship building.

Requirements:

  • 4-7 years of experience in M&A and/or Private Equity transactions.
  • Strong understanding of corporate law, market terms, and transaction structures.
  • Significant experience in drafting and negotiating M&A transaction documents.
  • Proven ability to manage multiple complex transactions simultaneously.
  • Strong communication skills, both written and verbal.
  • Ability to work independently and take on a high level of responsibility.
  • Business development-oriented mindset.
  • Admission to the NY State Bar or eligibility for admission.

Education:

  • J.D. from an accredited law school (Class years 2018–2021 preferred).

Certifications:

  • Admission to the NY State Bar or eligibility to apply.

Skills:

  • Expertise in M&A and Private Equity transactions.
  • Strong drafting, negotiation, and deal management skills.
  • Ability to work autonomously and manage client relationships.
  • Excellent analytical and problem-solving abilities.
  • High attention to detail and ability to manage multiple tasks.
