A law firm seeks a skilled securities attorney to join its Investment Funds Group in Palo Alto, CA. This professional-track position (non-partnership) is designed for an attorney with extensive experience in structured securities offerings, especially within commercial real estate transactions. The successful candidate will work with a variety of clients, including REITs, public and private real estate firms, and institutional investors, across a wide range of transactions involving acquisitions, dispositions, restructurings, financings, and property developments.

Duties:

  • Lead and manage structured securities offerings, ensuring adherence to regulatory standards and alignment with client goals.
  • Represent clients in diverse real estate transactions, including acquisitions, sales, restructurings, complex financing arrangements, and development projects.
  • Provide strategic legal advice on real estate finance and investment structuring to support client portfolios.
  • Collaborate with clients, partners, and multidisciplinary teams to ensure smooth and efficient transaction processes.
  • Conduct comprehensive legal research and prepare analyses to support complex financial transactions and ensure regulatory compliance.

Requirements:

  • Minimum of 6 years experience managing structured securities offerings, with a focus on commercial real estate law.
  • Expertise in real estate finance, acquisitions, and dispositions.
  • Knowledge of regulatory frameworks and best practices for real estate investment structuring.
  • Experience with a top-tier law firm, preferably within the AmLaw 100.
  • Licensed to practice law in California.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active member in good standing with the California State Bar.

Skills:

  • Strong analytical and writing skills, with close attention to detail.
  • Excellent business judgment and decision-making abilities.
  • Exceptional organizational skills, capable of managing multiple projects efficiently.
