Job Overview:

A law firm is seeking a Corporate/Mergers and Acquisitions Associate Attorney to join its team in Dallas, TX. This role offers the opportunity to work on various general corporate matters, including corporate restructurings, strategic partnerships, fund formation, and private equity and venture capital investments. The ideal candidate will have a strong background in corporate law, mergers and acquisitions, and exceptional communication and writing skills.

Duties:

  • Advise clients on corporate governance, mergers and acquisitions, and general corporate matters.
  • Draft, review, and negotiate various corporate agreements and documents, including merger and acquisition agreements, partnership agreements, and fund formation documents.
  • Assist with corporate restructurings and strategic partnerships.
  • Conduct due diligence and analyze legal issues related to corporate transactions.
  • Collaborate with other attorneys and professionals to provide comprehensive legal support.
  • Stay current with changes in laws and regulations affecting corporate transactions and investments.

Requirements:

  • JD degree from an ABA-accredited law school.
  • 3-4 years of corporate law experience, focusing on mergers and acquisitions.
  • Strong communication and writing skills.
  • Top academic credentials.
  • Texas Bar admission or the ability to become licensed in Texas.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Admission to the Texas Bar or the ability to become licensed in Texas.

Skills:

  • Expertise in corporate law and mergers and acquisitions.
  • Excellent negotiation and drafting skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and as part of a team.
