Job Overview:
A prestigious law firm in New York City is seeking a highly qualified Private Funds Associate Attorney to join its Investment Funds & Private Capital practice group. This role is ideal for candidates with significant experience in private fund formation, structuring, capital raising, and other related legal matters. The position requires a strong background in advising clients across private equity, real estate, credit, and other illiquid asset classes.

Duties:

  • Advise clients on all aspects of private fund formation and structuring.
  • Guide capital-raising efforts for private equity, real estate, credit, and other investment funds.
  • Provide legal counsel on fund governance, investor relations, and regulatory compliance.
  • Draft and negotiate fund formation documents, including partnership agreements, offering memoranda, and subscription agreements.
  • Work closely with clients to address complex legal issues related to fund investments and structuring.
  • Manage and oversee client projects, ensuring all deadlines and legal requirements are met.

Requirements:

  • Experience working in private fund formation, particularly in private equity, real estate, credit, or related asset classes.
  • Demonstrated expertise in fund structuring, capital raising, and regulatory matters.
  • Strong background in drafting and negotiating fund documents.
  • Excellent communication and client management skills.
  • Ability to manage multiple projects simultaneously and work in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Outstanding academic credentials are required.

Certifications:

  • Licensed to practice law in the state of New York.
