A law firm in Houston, TX, is seeking a Finance Associate Attorney with 2-4 years of experience in representing borrowers and/or lenders in various financial transactions. The ideal candidate should possess high academic achievement, law firm experience, and strong research, analytical, writing, and communication skills. Candidates must be licensed to practice in Texas or willing to take the Texas Bar Exam.

Job Duties:

  • Draft, review, and negotiate finance-related agreements and documentation, including loan agreements, credit agreements, security documents, and related contracts.
  • Conduct due diligence reviews and analysis for financing transactions, ensuring compliance with regulatory requirements.
  • Provide legal advice and support to clients on finance-related matters, including structuring of transactions and risk management.
  • Assist in the preparation of legal opinions, memoranda, and other client communications regarding finance transactions.
  • Collaborate with senior attorneys and partners on complex financing matters and transactions.
  • Stay informed about industry trends, regulatory developments, and best practices in finance law.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of Texas or eligibility to take the Texas Bar Exam.
  • 2-4 years of experience in finance transactions at a law firm or relevant legal environment.
  • Demonstrated experience with reserve-based lending transactions, syndicated credit facilities, acquisition financings, and project financings.
  • Strong understanding of commercial finance, banking regulations, and corporate finance principles.
  • Ability to manage multiple priorities and work effectively under pressure in a fast-paced environment.
  • Excellent interpersonal skills, with the ability to collaborate effectively within a team and communicate clearly with clients.

  • Proficiency in legal research tools and databases.
  • Exceptional drafting, negotiation, and analytical skills.
  • Attention to detail and accuracy in document review and preparation.
  • Strong organizational skills with the ability to prioritize tasks efficiently.
