A law firm in Chicago, IL, is seeking a highly qualified Mid-level Finance Associate Attorney with 4+ years of broad corporate experience. The ideal candidate will have experience in mezzanine debt transactions and exposure to Small Business Investment Company (SBIC) funds is highly preferred. The attorney must be admitted to the Illinois State Bar and will be responsible for handling a variety of corporate finance matters for the firm’s clients.

Duties:

  • Handle a wide range of corporate finance matters, including mezzanine debt transactions and related financing structures.
  • Represent clients in structuring, negotiating, and documenting corporate finance transactions.
  • Advise clients on matters related to SBIC funds, including compliance and regulatory requirements, if applicable.
  • Draft, negotiate, and review financing agreements, loan documentation, security agreements, and other related corporate finance documents.
  • Provide strategic legal counsel to clients in complex finance matters, including corporate borrowers, lenders, and investors.
  • Conduct due diligence, legal research, and risk assessments for financing transactions.
  • Work collaboratively with colleagues and clients to structure financing deals that meet the specific needs and goals of each client.
  • Manage multiple client matters efficiently while maintaining attention to detail and providing high-quality legal service.
  • Keep current with changes in corporate finance law, regulatory developments, and industry trends affecting clients.

Requirements:

  • 4+ years of corporate finance experience, with a focus on mezzanine debt transactions.
  • Strong familiarity with SBIC funds is preferred, including experience advising clients on SBIC-related transactions and compliance.
  • Admission to the Illinois State Bar is required.
  • Strong legal research, writing, and negotiation skills.
  • Ability to manage multiple complex transactions simultaneously while meeting deadlines.
  • Excellent communication and interpersonal skills, with the ability to work collaboratively with colleagues and clients.

Education:

  • JD from an ABA-accredited law school.
  • Strong academic credentials.

Certifications:

  • Licensed to practice law in Illinois.

Skills:

  • Expertise in corporate finance, with a focus on mezzanine debt transactions and SBIC funds.
  • Proficiency in drafting and negotiating complex legal documents, including loan agreements, security agreements, and financing documents.
  • Strong analytical and problem-solving skills.
