A law firm in Los Angeles, CA, is seeking a Corporate Associate Attorney to join their Corporate group and Nonprofit Organizations team. The ideal candidate will have 3-5 years of experience in private practice, specifically advising nonprofit organizations on tax, corporate, and charitable trust issues unique to tax-exempt entities. Candidates with a demonstrated interest or experience in political law, corporate law, or tax law—including corporate and partnership tax, employee benefits, or trusts and estates—are encouraged to apply.

Duties

  • Provide expert legal counsel to nonprofit organizations on tax compliance, corporate governance, and charitable trust matters.
  • Assist in the formation, structuring, and dissolution of nonprofit entities, ensuring adherence to federal and state regulations.
  • Handle complex legal issues related to corporate and partnership tax, employee benefits, and trusts and estates.
  • Draft, review, and negotiate legal documents including contracts, bylaws, and agreements.
  • Conduct in-depth legal research and prepare detailed memoranda on relevant issues.
  • Represent clients in interactions with regulatory agencies and manage disputes related to nonprofit governance and compliance.
  • Develop and implement strategies for clients to ensure legal and regulatory compliance.
  • Stay updated on changes in laws and regulations affecting nonprofit organizations and provide proactive guidance.
  • Contribute to business development efforts by attracting new clients and enhancing the firm’s reputation in the nonprofit sector.

Requirements

  • 3-5 years of legal experience in private practice, focusing on advising nonprofit organizations.
  • Proven expertise in tax, corporate, and charitable trust issues relevant to tax-exempt and nonprofit entities.
  • Experience or strong interest in political law, corporate law, or tax law, including corporate and partnership tax, employee benefits, or trusts and estates.

Education

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications

  • Active Bar License in good standing in California (or willingness to obtain if relocating).
