A law firm in Princeton is seeking a Mid-level Associate Attorney with experience in corporate and business transactions, specializing in capital markets and public companies. The ideal candidate will have extensive knowledge of securities offerings (debt and equity), federal securities laws, stock exchange regulations, Sarbanes Oxley Act, Dodd-Frank Act compliance, and corporate governance matters.

Duties and Responsibilities:

  • Provide legal advice and support to publicly traded companies on securities offerings, including drafting offering documents and disclosures.
  • Assist clients with compliance under federal securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Advise on corporate governance matters, ensuring compliance with regulations and best practices.
  • Conduct due diligence reviews and manage transactional closings for capital market transactions.
  • Collaborate with senior attorneys and clients to develop strategic solutions and mitigate legal risks.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar in the state of New Jersey (admission to New York Bar is a plus).
  • 3-6 years of experience in a reputable law firm environment focusing on capital markets, securities law, and public company representation.
  • Proven track record in handling complex corporate transactions and securities offerings.
  • Strong analytical and problem-solving skills, with meticulous attention to detail.
  • Excellent written and verbal communication skills, capable of articulating complex legal concepts clearly and concisely.
  • Ability to thrive in a fast-paced environment, manage multiple priorities, and meet deadlines effectively.

Preferred Skills:

  • Experience advising clients on compliance matters related to the Sarbanes Oxley Act and Dodd-Frank Act.
  • Familiarity with regulatory bodies and stock exchange listing requirements.
