Job Overview:
A law firm seeks a highly motivated and team-oriented Corporate Attorney with expertise in Mergers and Acquisitions (M&A) to join its growing legal practice. This hybrid role offers the opportunity to work on complex M&A transactions, with a focus on private equity buy-side deals. The ideal candidate will also play a leadership role in managing deals involving representations & warranties insurance (RWI) underwriters. In this position, the attorney will bring structure to the deal process, address intricate issues, and leverage modern collaboration tools to improve the efficiency and quality of work.

Duties:

  • Lead M&A due diligence teams and negotiate transactions as a key deal team member.
  • Act as the primary point of contact in the transaction process, particularly for RWI-related deals.
  • Coordinate with subject matter experts to address transaction issues and manage deal timelines.
  • Assist in business development efforts, contributing to the growth of the practice.
  • Leverage technology and support staff to enhance work product quality and meet deadlines.
  • Collaborate effectively within the team to ensure smooth deal execution and client satisfaction.
  • Stay updated on industry trends and utilize real-time collaboration tools (e.g., Teams, Office 365).

Requirements:

  • At least 4 years of experience in M&A, preferably with private equity buy-side counsel experience.
  • Demonstrated ability to lead M&A due diligence and manage transactions.
  • Hands-on experience with purchasing RWI as part of a transaction.
  • Strong business development skills and a growth mindset.
  • Ability to manage complex transactions and interact with clients effectively.
  • Proficiency in using modern collaboration tools and legal technology platforms.

Education:

  • Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the Bar in the relevant jurisdiction.

Skills:

  • Exceptional negotiation and communication skills.
  • Ability to manage multiple transactions and deadlines.
  • Strong organizational and problem-solving capabilities.
