Duties

  • Advise clients on public securities offerings, regulatory compliance with the SEC, and corporate governance standards.
  • Manage complex capital market transactions, covering both debt and equity markets.
  • Ensure compliance with public company reporting requirements and other securities regulations.
  • Provide guidance on structuring corporate governance frameworks to support regulatory and business needs.
  • Collaborate with attorneys from various practice areas and offices to deliver strategic, client-centered solutions.

Requirements

  • Experience: Minimum of 7 years in securities law, capital markets transactions, public securities offerings, SEC compliance, corporate governance, and debt/equity market transactions.
  • Portable Book of Business: Required.
  • Academic Credentials: JD from an ABA-accredited law school with a strong academic record.
  • Licensing: Active law license.
  • Skills: Strong analytical, organizational, and legal writing abilities, with a focus on client service.
  • Communication: Exceptional communication skills for clear and effective client advisement.
  • Teamwork: Ability to work collaboratively within a diverse team and independently.
  • Project Management: Skilled in managing multiple complex projects with a high level of attention to detail.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.
