Job Overview: A law firm specializing in nonprofit and association law is seeking a Mid-Level Associate Attorney to join its team in Falls Church, VA. The ideal candidate will have at least 4+ years of experience practicing law, focusing on representing tax-exempt organizations. Legal experience in contracts, governance, corporate structures, component/affiliate relations, licensing, membership programs, and lobbying is highly valued. Admission to the Virginia Bar is required.

Duties:

  • Provide legal counsel and representation to nonprofit organizations and associations.
  • Draft and review contracts, agreements, and legal documents about nonprofit operations.
  • Advise clients on governance issues, corporate structures, and compliance matters.
  • Assist in establishing and maintaining nonprofit organizations, including formation and dissolution.
  • Handle legal matters related to component/affiliate relations, licensing, and membership programs.
  • Research and analyze laws, regulations, and case law relevant to nonprofit and association law.
  • Represent clients in administrative proceedings, negotiations, and litigation when necessary.
  • Collaborate with partners, associates, and support staff to meet client needs effectively.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in good standing with the Virginia State Bar.
  • Minimum of 4+ years of experience practicing law, preferably in a law firm setting.
  • Specialization or significant experience in nonprofit and association law.
  • Strong understanding of tax-exempt organizations and related legal issues.
  • Excellent research, writing, and analytical skills.
  • Ability to work independently and manage multiple tasks efficiently.
